This agreement holds those terms and conditions that are applicable during the use of the Internet website www.biofuelmarketplace.com as a marketplace. By accepting this agreement the user agrees to abide by the rules and regulations when using the www.biofuelmarketplace.com website. It also means that the user enters into a binding contractual agreement with Geonardo Ltd.
Geonardo Ltd. reserves the rights to unilaterally modify the present contract.

- Registration
The user is liable for providing true and valid information during registration. If it gets to the knowledge of Geonardo Ltd. that any part of the information provided by the user is not valid or false, Geonardo Ltd. will be entitled to partially, fully restrict or terminate the access rights of the user.

- Fees and Invoicing
Rates of the services can be found under the Info Centre / Registration fee menu point.
Geonardo Ltd. retains the right to modify the current rates and to expand the list of payable services, but Geonardo Ltd. must notify its users at least 15 days prior to the introduction of the rate changes.

In respects to transactions, Geonardo Ltd. does not accept any complaints after a transaction has been completed. Geonardo Ltd. reserves the right to verify the authenticity of any complaint put forward by a seller regarding the success of a transaction and in the case it is proven to be unfounded, Geonardo Ltd. is going to raise an objection.

The on-line administration system of Geonardo Ltd. maintains a record of the users' successful transactions.

- User's Responsibilities

1. The initiation of an auction, uploading, selling
• The user uploading a product is responsible for giving the actual descriptions and accurate parameters of the product or service he/she uploads. This information should be entered on the provided, online product information sheet.
• By uploading a product and initiating an auction the seller commits to handing over the purchased product - in the condition that it has been listed - to the highest bidder of the successful auction.
• The compensation that the seller can request for the uploaded product is exclusively the price considered to be the winning price of either a fixed priced sale or an auction sale, which can be the followings:
• In the case of an auction sale:
• Price achieved and given by the seller
• The value of the highest bid that reached or exceeded the minimal price
• In the lack of minimal price, the highest valid bid
• In the case of fixed priced sale:
• The valid offer in the value of the fixed price given by the seller
• The seller's offers submitted to the website of Biofuel Marketplace are considered to be a contracting declaration, so withdrawal is not possible.
• The seller is not allowed to bid on an auction if it was initiated by him/herself neither him/herself nor with the help his/her trustee on behalf of a registered user by using this user name of the Biofuel Marketplace website. In case of a seller attempts to bid in this way Geonardo Ltd. suspends such a sellers' access rights and deletes his/her registered username as well.
• It is not allowed to initiate an auction where the posted quantity does not correspond with actual sale quantity (e.g. the sale price of a product is the price of a given quantity but actually the product can be purchased only in bigger quantity) or the posted purchase price includes some additional, unexpected charges.
• A new auction can only be launched in the category that has the closest attributes of the product listed. In a specific category, a maximum two auctions can be listed, otherwise fixed priced sale has to be used and the number of pieces can be entered on the Quantity field.
• When an auction is announced the so-called keyword display is not permitted if it is not linked to the item or product. Biofuel Marketplace Team will remove all duplicate listings, and listings including keywords. The access rights of those users, who frequently initiate an auction in the inappropriate category, use keyword displays or several times lists identical products are going to be revoked.
• Exclusively an actual and real product or service can be listed to an auction. A service can be put up for auction only by providing a detailed service description that should contain the duration of the service and actual number of the services.

2. Bidding and Purchase:
• On the marketplace of the biofuelmarketplace.com website operated by Geonardo Ltd.., a user with a valid bid will be committed to his bid until closing of the auction, but due to the nature of an auction service the revocation of a bid commitment is not possible. The duration of a bid commitment is the same as the duration of the auction.
• Only Geonardo Ltd. can revoke a submitted bid or a valid offer but exclusively when both parties have given their consent and if the auction has not been completed yet. Geonardo Ltd. cannot be obliged to cancel a bid. The execution of a bid cancellation is only a possibility in special and exceptional circumstances. Because the bid cancellation is only a possibility and it can only take place with the given consent of both parties, Geonardo Ltd. will not accept any post-complaints regarding a bid cancellation.

After closing an auction, the contracting automatically enters into force and both the buyer and seller will be obliged to comply with and fulfill the contents of the contract, that is the seller is obliged to sell the product in the final bid price and the buyer is obliged to buy the product for the same price.

If the bidder's bid is the highest, both Bidder and Seller are obliged to complete the transaction unless the transaction is forbidden because it is against any section of the law or of the present contract.

The seller and the highest bidder have to make contact within five days starting from the expiry date of the bidding period. If the parties cannot make contact within the required time frame, the seller is entitled to list the item for a new auction.

- Geonardo Ltd. as an agent
Geonardo Ltd., who operates the biofuelmarketplace.com website, plays solely an information-conveying role on the Internet marketplace between those who offer products and those who place bids on these offers. The delivery and any financial transaction regarding a sold product takes place according to the agreement between the users without any involvement of Geonardo Ltd., therefore Geonardo Ltd. has no control over the quality, safety and legitimacy of the listed items, thus Geonardo Ltd. cannot take any responsibility for all of the above. Furthermore, Geonardo Ltd. does not take any responsibility for either the genuineness of any item listed on its website nor for the actual buying and selling of the offered item. We cannot ensure that the buyers and sellers actually conclude the transaction. Since Geonardo Ltd. does not interfere with any transaction that is taking place between the buyers and sellers, if any dispute arises between the parties Geonardo Ltd. is exempted from any kind of claim and compensation. Geonardo Ltd. has the right to decide on a dispute between the parties and only the one who is found to be at fault will be sanctioned.

- Prohibited items
Trading with items not related to biofuels on Biofuel Marketplace is prohibited, any inappropriate items would be removed from the website, including, but not limited to the following:

• Stolen items
• Copied or counterfeits of an item protected by the copyright law (CD, DVD, Video recordings, sound recordings, records, software, and any other sound or data storage device, etc. Genuineness has to be included in its description by stating "original" or "not a copy") and all other activity, device, software that can cause or facilitate the breaching of the copyright law.

Furthermore, it is prohibited to upload product descriptions or pictures, information that promote direct contact (e-mail addresses, phone numbers, name of websites containing contact information), except if there is some other contract - made between the user and Biofuel Marketplace - which specifically allows it for the user.

Geonardo Ltd. reserves the right to eliminate a user or cancel any transaction or further information if, according to the interpretation of Geonardo Ltd., it is contrary to the normal use of the biofuelmarketplace.com website.

- Feedbacks and restrictions
The users of biofuelmarketplace.com website can give feedback about each other. We ask the users to carefully form their sound opinion since it becomes available for every user and it cannot be changed afterwards. When someone gives a feedback that is unsubstantiated and jeopardizes other's reputation then this person bears the heavy responsibility of his/her action even in front of a civil court, in case of a civil suit. Geonardo Ltd. does not take any responsibility for the content of the opinions in feedback posted by other users.

Geonardo Ltd. reserves the right to check the user's personal data and registration information given by the user at the time of registration, especially if there is any doubt regarding the genuineness of the registration data. During the verification process Geonardo Ltd. is entitled to suspend the user account for an unlimited time, but at most until the closing of the verification process.

Furthermore, Geonardo Ltd. reserves the right to suspend any users' account or any transaction or to delete any additional information, if it is - according to the interpretation of Geonardo Ltd. - against to the normal use of the marketplace or it is contrary to the rules of Geonardo Ltd. or if it qualifies to be slander, an illegal, offending or immoral act according to the following criteria:

• The information does not have any relevance to Geonardo Ltd. (likewise personal opinions about users or about feedback, which can be linked to commercial transactions that have not been completed by using the biofuelmarketplace.com website)
• Information, which provides links and connectivity to other sites and pictures, except information used for product description. In these cases the Internet links can be included.
• Information that includes the users' personal identification data or encourages promoting contact information (e-mail address, phone number, website containing contact information or its name). In the interpretation of Geonardo Ltd. - among other things - those auctions or messages are also considered to be such information, which has been exclusively sent or launched to gain access to the above listed information.
• Information that contains obscene and vulgar language or includes offending material or information that gives grounds for anybody's flagrancy
• Information aimed at discrediting other users,
• Information related to the private data of Geonardo Ltd. or the similar data of any other company.

- Moderation principles on the forums of biofuelmarketplace.com

Consistently neglecting the principles of the present contract is going to be resulted in the absolute ban from biofuelmarketplace.com forums.
